AGREEMENT TO TERMS
ElieNovation Holdings Inc. (hereinafter by "ELIENOVATION") administers RegisterDomain.ca and CatchDrop.com (hereinafter “Websites“). You must comply with these Terms and Conditions of Service in order to access and use the Websites and any services made available through it. You certify that you have read, understood, and agree to be bound by our Terms & Conditions by using any products or services provided by ELIENOVATION, whether directly or indirectly.
You must read and accept the current Terms & Conditions, Privacy Policy, Domain Registration Agreement, Auction Rules and any other guidelines pertaining to any services featured on the Websites before using the Websites or other ELIENOVATION services. You signify your agreement of the Terms by accessing any ELIENOVATION service and using it going forward. If you do not agree with all these Terms & Conditions, do not access or use any ELIENOVATION services.
These Terms & Conditions may occasionally need to be changed by ELIENOVATION to account for new technology, rules, and/or laws. ELIENOVATION may, in its sole discretion, give the Client prior written notice if the changes have a significant impact on the Client's services. ELIENOVATION is not under any obligation to give such notice. Any changes to the Terms will take effect thirty (30) days after they are posted online.
POLICY CONCERNING PRIVACY
If it's not necessary to carry out your service agreement or as required by law, ELIENOVATION will respect your right to privacy and won't sell, trade, or otherwise make available your personal information. COPYRIGHTS AND TRADEMARKS
The trademarks for the names ELIENOVATION / RegisterDomain.ca & CatchDrop.com and any related logos are the exclusive property of ELIENOVATION. These trademarks may not be used in any way without the prior written consent of ELIENOVATION. All third-party names and trademarks that appear on the Website are also the property of their respective owners, and use of them requires permission from those owners. The website and all of its contents, including text, images, and the selection and arrangement of its data, are protected and copyrighted. You are only permitted to access and download the data on the website for personal use; do not use it for professional purposes. No other use, modification, or copying of the Site in whole or in part shall be permissable without ELIENOVATION's explicit prior written consent.
CREATION, MAINTENANCE, MODIFICATION, AND TERMINATION OF ACCOUNTS
Creating an Account
Without limiting the generality of the preceding, only people who are at least 18 years old of age are eligible to use our services. Only individuals who are able to engage into contracts are eligible to use the services offered through the websites. If you are under 18, you may only use the Websites with the approval and guidance of your parents or legal guardians. Additionally, ELIENOVATION has the right to prevent members whose memberships have been temporarily or permanently suspended/terminated from accessing the Sites. If you register on behalf of a company, you are certifying that you are the corporation's duly designated representative. You may create an account on the websites by filling out the form. On both websites, you can also view details about pricing for our services.
Truthful Information
You agree to maintain your client account profile updated with current information while using ELIENOVATION services. Your entire name, current mailing address, valid phone number, and email address must all be provided. You promise to update the data in your account dashboard within 7 days of any changes.
You agree that ELIENOVATION may use and rely on any such information provided by you for all reasons related to your services in accordance with its Privacy Policy. If you provide any information that is false, misleading, or incomplete, or if ELIENOVATION has reasonable grounds to suspect that such information is false, misleading, or incomplete, ELIENOVATION reserves the right, in its sole discretion, to suspend or terminate its services and/or close your accounts.
Maintenance and Security of Accounts
You agree to use your account solely for lawful purposes and to take full responsibility for all information and materials on it.
You understand that it is your exclusive duty to preserve the privacy of your user client login details, passwords, and credit card information (collectively, "Account Access Information"). You agree that the responsibility for all activities performed using your account rests solely with you. You explicitly agree to notify ELIENOVATION as soon as you become aware of any unauthorized use of your account or other security breach. You agree that ELIENOVATION is not liable for any losses you might incur as a result of any party utilizing your account access information whether intentionally or unintentionally. ELIENOVATION or another party may file a lawsuit against you if they incur losses as a consequence of someone else using your account access details, and you agree to that fact. Your account access information should be kept in a safe location, and ELIENOVATION recommends you to take precautions to prevent others from accessing and/or using it. You may not, under any circumstances, compromise the infrastructure of ELIENOVATION or the security of your account.
Account Termination and Suspension
To ensure a safe and secure environment for our all our customers, CatchDrop.com & RegisterDomain.ca has the right to suspend, terminate or cancel any accounts that do not adhere to these Terms and Conditions without prior notice.
CatchDrop.com & RegisterDomain.ca will make an effort to let you know if your account is suspended, terminated or closed. In rare cases, RegisterDomain.ca may suspend a user's account immediately and without notice in order to prevent significant injury or service deterioration. By submitting a cancellation through your account at least 30 days before your domains expires, you can close your account and stop automatic domain renewals.
PAYMENT POLICY
ELIENOVATION / RegisterDomain.ca & CatchDrop.com accepts payments made with Visa, Mastercard, American Express, Discover. For amounts above $5,000.00 CAD payments can be made only by bank wire transfer, direct bank deposit or email Interac transfer(from Canadian Accounts only).
All payments, unless otherwise noted, should be made in Canadian dollars. After the initial payment is completed, a domain cannot be managed until all invoices are paid in full. A 1.8% percent monthly compound interest penalty will be added to any past due invoice. Chargebacks will incur additional fees of C$85.00 plus applicable taxes.
The minimum total payment for, wire transfers, and Interac e-Transfers is $100.00 CAD.
Any overpayment above the invoiced amount will be applied as account credit to your account balance, which you may use to make future payments. Account credits are automatically applied to open or new orders.
Refunds
There will be absolutely no refunds issued for successfully caught backorders. Due to the costs associated with successfully registering a backordered domain name on behalf of a customer, the customer is not eligible to return and/or receive a refund or credit for a domain in which they successfully backordered and CatchDrop successfully registered on behalf of the customer. There will be no refunds for won auctions. When participating in an auction, the customer hereby acknowledges that they cannot return a domain won in an auction and will not receive any refund for a successfully won auction. Refunds will only be issued if the domain(s) is pulled back from your account due to a system error or glitch in the system. In the case of a customer not entitled for a refund attempts to initiate a chargeback, their CatchDrop and RegisterDomain.ca accounts will be terminated and banned from both sites. Prefunded account balance funds cannot be refunded, but never expire.
All succesfully caught domain backorders, domain won auctions, domain registrations and domain renewals are final.
Reversals And Chargebacks
If you seek a chargeback or reversal of charges from your financial institution, you will be responsible for a $85.00CAD chargeback fee, the full amount of your first transaction, and any applicable taxes. All services associated with your accounts may be suspended or terminated if the chargeback fees are not paid in full.
DOMAIN NAMES
Our Domain Names Policy, which is available at https://CatchDrop.com/Domain-Names-Policy, must be respected throughout domain name registration, renewal, and transfers.
LIMITATION OF LIABILITY AND DISCLAIMER
With the exception of the guarantees mentioned in this Agreement, ELIENOVATION doesn’t” (i) ELIENOVATION does not, directly or through a reseller, make any representations or warranties, express or implied, of any kind with regard to the services or products it provides or services; and (ii) assume implicit claims of merchantability, compliance, or non-infringement, as well as any other explicit or implied warranty. Subject also to the express warranties set out in this Agreement. The user fully acknowledges that ELIENOVATION disclaims any warranties and representations with respect to the services or goods it offers or services, whether directly or via a reseller, and the website's content while using or attempting to use the website: (i) No representation or warranty is given on the timeliness, correctness, or completeness of the website's material; and (ii) Links to other websites over which ELIENOVATION has no control are provided as a service to website visitors by ELIENOVATION. By the provisions of the present Agreement, Users hereby irrevocably renounce all claims they may have against ELIENOVATION with respect to any goods, services, information, or other materials found on such websites. (iii) It is not guaranteed by ELIENOVATION that its services will be prompt, secure, continuous, error-free, or uninterrupted, or that any flaws will be fixed. Regarding the use of its services or the results they could create, including their correctness, accuracy, reliability, or other qualities, ELIENOVATION offers no promises or assurances.
ELIENOVATION will never be held accountable for any harm or damages caused by (including but not limited to) a breach of contract, error, omission, or for damage or other damages as a result, direct or indirect, including but not limited to loss of profits, business interruption, loss of programs or other data on your information management system, loss or damage to property, and claims of third parties. This is true even if ELIENOVATION is expressly informed of the possibility of such harm or damages.
ELIENOVATION makes every effort to ensure the accuracy of the material, however mistakes can still happen. If ELIENOVATION finds a mistake, it will correct it as soon as it is practical and notify the customers who are impacted.

FORCE MAJEURE
ELIENOVATION will make every effort to keep its website and services operating properly. However, on occasion there could be temporary service interruptions as a result of various technical problems and other unavoidable factors. You acknowledge that none of these interruptions' impacts are the fault of ELIENOVATION.
SEVERABILITY
Any clause in these terms that is unlawful, unenforceable, or void for any reason shall be deemed severable from the remainder of the clause and shall not impact the legality or enforceability of the other clauses.
LAW AND JURISDICTION THAT APPLIES
Without regard to any considerations of conflict of laws, this Agreement and its interpretation are governed by the laws of the province of Quebec and the laws of Canada that apply there. The Parties here irrevocably submit to the jurisdiction of the courts of the District of Montreal, Province of Quebec, any matters arising out of or relating to this Agreement, including any and all questions as to the interpretation and application of this Agreement.
COMPLETE AGREEMENT
All proposals and writings between the parties with regard to the subject matter of this Agreement are superseded by this Agreement, the relevant policies, and any Service Orders signed by the parties. With the exception of what is expressly stated in this agreement, ELIENOVATION makes no representations, warranties, or conditions, either express or implied, and expressly disclaims any implied or statutory warranties or conditions of merchantability, merchantable quality, durability, fitness for a particular purpose, title, non infringement, and those resulting from a course of dealing or custom of trade. The service order shall take precedence over these Terms in determining the parties rights and responsibilities in the event of a conflict or disagreement regarding this main agreement, any attachments, and/or any service order.
